TSMS Labs is a brand operated by Lore Biosciences LLC. References to “TSMS Labs,” “Lore Biosciences,” “we,” “us,” and “our” refer to Lore Biosciences LLC and the TSMS Labs brand.

1. Terms and Conditions

1.1 Acceptance of These Terms

These Terms and Conditions govern your access to and use of the TSMS Labs website, including any purchases, services, content, communications, and features made available through the website.

By accessing the website, creating an account, submitting an order, or purchasing a product, you confirm that:

  • You have read and understood these Terms.
  • You agree to be legally bound by these Terms.
  • You are at least 21 years old.
  • You have the legal authority to enter into this agreement.
  • You are purchasing products exclusively for lawful laboratory, analytical, educational, or other legitimate research purposes.

Do not access the website or submit an order if you do not agree to these Terms.

1.2 Research-Use-Only Products

All chemical compounds, peptides, reference materials, analytical materials, and related products sold by TSMS Labs are offered exclusively for laboratory research use.

Products are not intended for:

  • Human consumption
  • Veterinary consumption
  • Injection, ingestion, inhalation, implantation, or topical administration
  • Diagnosis, treatment, cure, mitigation, or prevention of any disease
  • Medical, therapeutic, cosmetic, household, or recreational use
  • Use as a drug, food, dietary supplement, cosmetic, or medical device
  • Compounding or preparation for administration to humans or animals
  • Clinical use or self-experimentation

Products have not been evaluated or approved by the United States Food and Drug Administration for human or veterinary use.

Additional restrictions appear in the TSMS Labs Research Use Only Policy, which is incorporated into these Terms by reference.

1.3 Purchaser Qualifications

By purchasing from TSMS Labs, you represent and warrant that:

  1. You are at least 21 years old.
  2. You understand the nature and hazards of the products purchased.
  3. You possess the knowledge, training, equipment, facilities, and protective measures necessary to receive, store, handle, and dispose of the products safely.
  4. You will comply with all applicable federal, state, local, institutional, and professional requirements.
  5. You will not use any product for human or veterinary administration.
  6. You will not provide a product to another person for prohibited use.
  7. You will not mislabel, misrepresent, adulterate, or improperly resell a product.
  8. You accept responsibility for determining whether possession and use of the product are lawful in your jurisdiction.

We may request documentation or additional information concerning the purchaser, organization, intended research use, shipping destination, or regulatory status of an order.

We may refuse or cancel any order when we reasonably believe that the order may involve unlawful, unsafe, fraudulent, or prohibited activity.

1.4 Product Information

We make reasonable efforts to present accurate product descriptions, quantities, images, specifications, lot information, testing information, and pricing.

However:

  • Product images may be representative.
  • Packaging, labeling, lot numbers, cap colors, and presentation may vary.
  • Minor differences may occur between website images and delivered products.
  • Analytical results may vary by lot.
  • Certificates of Analysis apply only to the specific lot identified.
  • No product is guaranteed to produce a particular experimental outcome.

Customers must independently determine whether a product is appropriate for their research method, protocol, equipment, and intended lawful application.

Website content is provided for general informational and commercial purposes. It is not medical, clinical, legal, regulatory, or professional advice.

1.5 Orders and Acceptance

Submitting an order does not guarantee acceptance.

An order is accepted only after:

  • Payment has been authorized or received;
  • Any required verification has been completed; and
  • We issue an order confirmation or begin fulfillment.

We reserve the right to:

  • Reject or cancel an order;
  • Limit the quantity purchased;
  • Correct pricing or product-information errors;
  • Request identity, payment, address, or research-use verification;
  • Decline service to customers who violate these Terms; or
  • Restrict sales to certain locations.

If we cancel a paid order before shipment, we will issue the appropriate refund to the original payment method, except where payment-provider rules or legal restrictions require another procedure.

1.6 Pricing, Discounts, and Promotions

Prices are displayed in U.S. dollars unless otherwise stated.

Taxes, shipping charges, handling charges, and other applicable fees are calculated or disclosed during checkout.

Promotional codes:

  • Must be entered before checkout is completed;
  • Cannot be applied retroactively;
  • May be limited to one use per customer, household, account, payment method, or address;
  • May exclude designated products;
  • May have expiration dates or minimum-purchase requirements; and
  • Have no cash value.

Unless otherwise stated, quantity discounts are calculated before promotional coupon discounts. Discounts do not apply to taxes or shipping unless expressly stated.

We may modify or discontinue promotions at any time, but changes will not affect an order already accepted.

1.7 Payment

Available payment methods are displayed during checkout.

By submitting payment information, you represent that:

  • The information is accurate;
  • You are authorized to use the selected payment method;
  • The transaction is lawful; and
  • You authorize us and our payment service providers to process the applicable charges.

Payment information may be processed by third-party payment processors. We generally do not directly store complete payment-card numbers or security codes.

Orders may be held or canceled due to failed authorization, suspected fraud, billing-address discrepancies, payment disputes, chargeback history, sanctions or compliance screening, incomplete payment, or requests from a payment provider or financial institution.

Do not send payment through a method that has not been expressly authorized on the TSMS Labs website or in a written invoice issued by us.

1.8 Shipping

Shipping is governed by the TSMS Labs Shipping and Payment Policy, which is incorporated into these Terms.

Customers are responsible for providing a complete and accurate shipping address.

We are not responsible for delays or losses caused by incorrect or incomplete addresses, carrier disruptions, severe weather, natural disasters, government action, security screening, customs or regulatory intervention, delivery restrictions, recipient unavailability, or other circumstances outside our reasonable control.

Risk of loss transfers as permitted by applicable law and the selected carrier’s terms. Nothing in these Terms eliminates rights that cannot legally be waived.

1.9 Inspection and Reporting Problems

Customers should inspect each shipment promptly after delivery.

Report damaged, incorrect, missing, or materially defective items to [email protected] within three calendar days after the carrier records the shipment as delivered.

Include:

  • Order number;
  • Product name;
  • Lot number, when available;
  • Description of the issue;
  • Photographs of the exterior packaging;
  • Photographs of the shipping label;
  • Photographs of the product and internal packaging; and
  • Any other information reasonably requested.

Do not discard the product or packaging until the matter has been reviewed.

Failure to provide timely notice and supporting documentation may limit our ability to investigate the claim or obtain relief from the carrier.

1.10 Returns and Refunds

Because research materials can be affected by handling, storage, temperature, contamination, chain-of-custody issues, and tampering, products generally cannot be returned after delivery.

Except where required by law, all sales are final.

We may provide a replacement, store credit, partial refund, or refund when we confirm that:

  • An incorrect product was shipped;
  • An item was missing from the shipment;
  • A product was materially damaged before or during delivery;
  • A verified defect existed when the product left our control; or
  • We are otherwise legally required to provide a remedy.

Claims are reviewed individually. Approval of one claim does not require approval of another claim.

Shipping charges are generally nonrefundable after shipment unless the refund is required because of our error or applicable law.

Orders canceled before fulfillment may be eligible for a refund. Once an order has entered fulfillment or been transferred to the carrier, cancellation may not be possible.

1.11 Chargebacks and Payment Disputes

Contact us at [email protected] before initiating a chargeback so that we have an opportunity to investigate and resolve the issue.

Fraudulent chargebacks, false non-delivery claims, misuse of promotional codes, unauthorized payment reversals, and attempts to retain both the product and refunded funds may result in account suspension, refusal of future orders, submission of relevant records to the payment provider, collection activity where legally permitted, or other lawful remedies.

This section does not limit a customer’s lawful right to dispute an unauthorized or genuinely incorrect charge.

1.12 Accounts and Website Security

You are responsible for maintaining the confidentiality of your login credentials, providing accurate account information, restricting access to your device and account, promptly notifying us of suspected unauthorized access, and all activity conducted through your account, except to the extent prohibited by law.

You may not:

  • Access the website through automated means without authorization;
  • Scrape or harvest website data;
  • Probe or bypass security controls;
  • Introduce malware or harmful code;
  • Interfere with website operations;
  • Impersonate another person or entity;
  • Use fraudulent payment information;
  • Manipulate prices, discounts, checkout data, or product availability; or
  • Use the website for unlawful activity.

1.13 Intellectual Property

The TSMS Labs website and its contents—including logos, graphics, product photography, text, layouts, brand elements, videos, documents, and software—are owned by or licensed to Lore Biosciences LLC and are protected by applicable intellectual-property laws.

You may use the website only for personal or internal business purchasing and research-evaluation purposes.

You may not reproduce, distribute, modify, republish, sell, license, reverse engineer, or commercially exploit website content without prior written authorization.

The website may use or link to third-party services, including payment processors, shipping carriers, order-tracking platforms, analytics providers, email service providers, fraud-prevention services, hosting providers, and social-media platforms.

Third parties operate under their own terms and privacy practices. We are not responsible for a third party’s independent conduct, availability, security, or content.

1.15 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TSMS LABS AND LORE BIOSCIENCES LLC DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT; ACCURACY; AVAILABILITY; EXPERIMENTAL PERFORMANCE; AND SUITABILITY FOR ANY PARTICULAR RESEARCH METHOD.

WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT A PRODUCT WILL PRODUCE ANY PARTICULAR RESEARCH RESULT.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, exclusions apply only to the maximum extent permitted by law.

1.16 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TSMS LABS, LORE BIOSCIENCES LLC, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, including lost profits, lost data, lost research, business interruption, personal injury arising from prohibited use, property damage, regulatory action, or costs of substitute materials.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM A PRODUCT OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO US FOR THE PRODUCT GIVING RISE TO THE CLAIM.

These limitations do not apply where liability cannot lawfully be excluded or limited.

1.17 Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless TSMS Labs, Lore Biosciences LLC, and their owners, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, penalties, and reasonable costs arising from:

  • Your violation of these Terms;
  • Your unlawful or prohibited use of a product;
  • Human or veterinary administration;
  • Improper storage, handling, labeling, transfer, resale, or disposal;
  • Your research activity;
  • Your violation of law or third-party rights; or
  • False representations made during an order.

1.18 Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles, except where federal law or a consumer’s non-waivable local rights apply.

Any legal proceeding not subject to another binding dispute-resolution agreement must be brought in a court of competent jurisdiction serving Connecticut.

Nothing in this section eliminates any consumer right that cannot lawfully be waived.

1.19 Changes to These Terms

We may update these Terms to reflect changes in our practices, website, products, or legal obligations.

The revised version will display a new “Last updated” date. Changes apply prospectively when posted unless another effective date is stated.

Continued use of the website after an update constitutes acceptance of the updated Terms.
